Checking a settlement agreement: payment, WW and conditions

A settlement agreement, often called a vaststellingsovereenkomst or VSO, records the conditions on which you and your employer part ways. You can negotiate and do not have to accept a proposal. The quality of the agreement lies in the whole package: end date, continued wages, payment, benefit position and restrictions after leaving. Read it as if you might need to use it again in six months when a payment problem arises.

First establish what continuing employment and a possible dismissal procedure would mean for you.

A VSO does not create an automatic statutory right to a transition payment; expressly agree the payment.

The statutory written cooling-off period is usually fourteen days, or three weeks if the required information is missing.

1. What do you give up through a VSO?

By signing, you agree to termination. Your employer generally no longer needs UWV or the court to assess its stated dismissal reason first. This can provide peace of mind and clear arrangements, but you also lose the straightforward option of letting employment continue. Assess your negotiating position before discussing a single figure.

Ask why the employer wants termination and which route it would use without agreement. Has the position disappeared, is there a performance improvement file, or is there a dispute? The answer helps compare continued employment, proceedings and a settlement. An offer “to help you obtain WW” is not itself a reason to give up your contract.

2. Who initiated termination, the reason and personal circumstances

Record that the employer took the initiative and describe the factual reason carefully. UWV assesses whether you are culpably unemployed and meet the other conditions. A standard sentence about a neutral reason cannot correct every underlying situation. Include previous warnings, ongoing dismissal proceedings and unusual arrangements in the assessment.

If you are ill, pregnant, partly unable to work or undergoing reintegration, seek advice before agreeing. A prohibition on giving notice can change your negotiating and benefit position. Through a VSO, you may surrender rights to continued wages while WW or sickness benefit is not automatically available. A previous job you resigned from can also matter if you only recently joined this employer.

A settlement agreement and dismissal with consent are different routes

Aspect

Settlement agreement (VSO)

Dismissal with consent

Action

Both parties agree on how employment will end.

The employer gives notice; the employee consents in writing.

Compensation

Expressly agree on compensation. A VSO does not automatically create a statutory entitlement to a transition payment.

A statutory transition payment is generally due, subject to exceptions.

Unemployment benefit (WW)

UWV assesses the conditions, reason for termination and appropriate notice period.

This route does not guarantee an award of WW either.

Cooling-off period

Generally fourteen days, extended to three weeks if the mandatory information is missing.

Written consent can also be withdrawn under a statutory right.

Illness and other special circumstances may require a different assessment. Compare the full proposal, not just the document heading.

3. Choose the end date and notice period carefully

Your last working day need not be the contract end date. You may be released from duties while remaining on salary. Record both dates and check the notice period applicable to the employer. UWV may apply a notional notice period: an early end date can create a period with neither wages nor WW. A higher agreed termination payment does not automatically change the notice period assessed by UWV. Even an attractive payment therefore requires a check for a possible period without wages and without WW unemployment benefit.

For a fixed-term contract without an early termination option, WW may in principle start only after the original end date. Do not blindly use the standard approach for an indefinite contract. Also check the cao, length of service and the date agreement was reached. Have any revised end date checked again before signing the final version.

4. Separate the payment from the final statement

Termination by mutual agreement does not automatically create a statutory transition payment entitlement. You can use that calculation as a comparison. Agree the termination payment itself as a specific gross sum, with a payment date and any conditions. Distinguish this from notice by the employer with your written consent: that route does provide a statutory transition payment entitlement if the conditions are met.

List unpaid salary, holiday allowance, leave hours, bonuses, commission and expenses separately. This prevents a payment quietly including money already owed to you. Ask what the final statement will show and when it will arrive. Allow for tax deductions and possible effects on income-related allowances. A gross agreement does not guarantee the net sum reaching your account.

5. Release from duties, leave and a new job

During release from duties, record what continues: salary, fixed allowances, pension contributions, lease car and other employment benefits. Discuss whether you must remain available for handover and whether starting elsewhere early is permitted. Check any clause reducing the payment when you find other work. Its practical impact may be greater than a small extra payment.

Staying at home does not automatically use annual leave. Expressly state which hours are deemed taken and which will be paid out. Also agree on company property and your final access to the employee portal. Download your own contracts and payslips before leaving. Do not take business files or customer data that are not intended for your own employment file.

Example: a payment with a hidden offset

A proposal offers €8,000 gross “including all outstanding entitlements”. If it includes another €2,000 of holiday allowance and leave, the genuine additional payment is smaller. Ask for separate items and payment dates.

6. Full and final settlement and restrictions after leaving

A full and final settlement clause means the parties declare that, after performance, they have no further claims against each other. Broad wording can create disputes over an unknown bonus, unpaid salary or pension error. Identify outstanding issues and exceptions. Also have any possible injury, incapacity for work or complaint assessed for inclusion in the settlement.

Read non-compete, relationship, confidentiality and penalty clauses alongside the new agreement. State which clauses end and which continue. Where necessary, agree an employment certificate, reference wording and internal communication. Avoid promises you cannot verify, such as an unconditional assurance that third parties will say nothing about the departure. An employer contribution towards advice needs a clear limit, VAT arrangement and payment method.

7. Signing and the statutory cooling-off period

The termination agreement must be recorded in writing. In principle, you can dissolve it in writing within fourteen days without giving a reason. If the employer has not stated the cooling-off period in writing, it is three weeks. Reusing the statutory cooling-off right within six months may be restricted if you already used it; have this checked for a second agreement.

Keep the final version and evidence of when the agreement was concluded. Calculate the cooling-off period from that point and, if unsure, do not wait until the last evening. Make a withdrawal clear to the employer in writing and with proof. A phone call expressing concerns or asking for more money is not a safe substitute for a clear declaration dissolving the agreement.

Compare the offer with the situation without agreement.

Check illness, cao, contract duration and the applicable notice period.

Separate the payment from existing wage entitlements.

Read full and final settlement together with every continuing restriction.

Keep the final version, agreement date and cooling-off deadline.

What is a reasonable termination payment?

There is no universal sum that makes every VSO reasonable. Service, salary, the dismissal file, income risk and the value of continued employment matter. Always compare the payment alongside continued wages and other rights so you compare equivalent items.

Can my employer guarantee WW?

No. UWV decides on your application. Correct wording and a notice period can reduce risk, but employment history, availability and the factual reason remain relevant. Have illness and a fixed-term contract without an early termination clause assessed separately.

Can I negotiate after signing?

You can request different terms, but the employer does not have to agree. During the statutory cooling-off period, you may dissolve the agreement in writing subject to the conditions. Negotiations do not automatically extend that period.

Must my employer pay for legal advice?

That is not an automatic rule for every VSO. You can negotiate a contribution. Record the amount, VAT, invoice conditions and whether payment is also due if no agreement is reached before incurring costs.
